Samsung Biologics has announced an all-cash public tender offer to acquire 100% of PolyPeptide Group AG at CHF 44.31 per share, valuing the Swiss-listed peptide contract manufacturer at approximately CHF 1.46 billion and marking the South Korean biologics group's most significant strategic move into peptide and GLP-1 therapeutics manufacturing.

The offer represents a 40% premium to PolyPeptide's undisturbed share price of CHF 31.65, measured on 10 April 2026, the last trading day before market rumours of a deal emerged. PolyPeptide's board of directors, acting through its independent and non-conflicted members, has unanimously recommended acceptance. The company's largest shareholder, holding approximately 55.65% of outstanding shares, has provided an irrevocable tender undertaking, giving the transaction a firm majority foundation before the offer formally opens.

The deal is expected to launch at the end of August 2026 and complete by year-end, subject to a minimum 66⅔% acceptance threshold and the relevant regulatory approvals. Samsung Biologics intends to pursue a squeeze-out and delist PolyPeptide from the SIX Swiss Exchange following completion.
