Electronic Arts told the SEC on July 30 that it expects its merger to close on or about the close of trading on Tuesday, August 4. Before the market opens the next morning the company is out of the S&P 500 and Ferguson Enterprises is in. Nothing about the size or the results of either company decided that. Electronic Arts is leaving because it will no longer be a listed company.

The buyer is a consortium. In the same filing, Electronic Arts sets out an agreement and plan of merger entered into on September 28, 2025 with two Delaware companies, Oak-Eagle AcquireCo and Oak-Eagle MergerCo, both formed by The Public Investment Fund, private investment funds affiliated with Silver Lake Group and private investment funds affiliated with Affinity Partners. Oak-Eagle MergerCo merges into Electronic Arts, and Electronic Arts survives the merger as a wholly owned subsidiary of Oak-Eagle AcquireCo.

As of July 30, every regulatory approval required to complete the merger had been obtained. What remains is the set of customary closing conditions written into the agreement, which have to be either satisfied or waived. Electronic Arts is a Delaware corporation with its principal offices in Redwood City, California, and its common stock trades on the Nasdaq Global Select Market.

## ADI Global Distribution Joins the SmallCap 600 as It Becomes a Separate Company

The second change runs on the same clock. Resideo Technologies, itself a member of the S&P SmallCap 600, is separating ADI Global Distribution in a transaction due to complete on August 4. ADI Global Distribution enters the SmallCap 600 before the opening of trading that same day, listed on the New York Stock Exchange under ADIG. In a filing on July 13, Resideo described ADI Global Distribution Inc. as an entity organized to hold the ADI Global Distribution business of Resideo Technologies, and held an investor day that day in connection with the separation.

The release gives each change an effective date and a sector classification: ADI Global Distribution goes in under Information Technology, Ferguson Enterprises under Industrials, and Electronic Arts leaves from Communication Services. S&P Dow Jones Indices is a division of S&P Global and says more assets are invested in products based on its indices than in products based on those of any other provider.
