Anthropic, the company behind the Claude AI models, made its IPO prospectus public on October 26, filing a Form S-1 with the Securities and Exchange Commission and naming a ticker for the first time: its Class A shares are to list on the Nasdaq Global Select Market under the symbol ANT. The price range and the number of shares are blank in the filing, Anthropic has not given a listing date, and the company says the registration statement "has not yet become effective."

The public filing follows a confidential draft submitted in June, which was the basis of [our September report on Anthropic's $518 billion of computing commitments](https://www.sovereignmagazine.com/article/anthropic-ipo-518-billion-compute-commitments).

## Revenue Rose to $16.3 Billion in the First Half of 2026

Anthropic took in $16.3 billion of revenue in the six months to June 30, 2026, up from $1.2 billion in the same period of 2025, a growth rate of 1,300%, according to the S-1.

> "We do not expect our revenue will continue to grow at comparable rates, and we cannot assure you that it will continue to grow at all."
> — Anthropic, Form S-1 risk factors

Operating expenses for the half came to $17.0 billion, of which $8.9 billion went on compute and infrastructure, up from $2.3 billion a year earlier. Spending on sales, marketing and partnerships climbed to $3.2 billion from $120 million. The operating loss narrowed to $693 million from $2.1 billion, and on Anthropic's own non-GAAP measure the company reported adjusted operating income of $1.6 billion, against an adjusted operating loss of $1.8 billion in the first half of 2025.

The net loss for the half was $80.7 billion. Most of it, $72.4 billion, is recorded on a line the filing calls "change in fair value of convertible notes, derivative liabilities, and SAFEs," an accounting charge that Anthropic says came mainly from the rising value of its outstanding convertible notes as its enterprise valuation increased. The rest includes $8.8 billion of other expense, net, partly offset by $1.1 billion of interest income.

As of September 30, 2026, more than 1,900 customers were each paying Anthropic $1 million or more a year on a trailing basis, and about 250 were paying $10 million or more. More than half of the Fortune 500 were customers spending at least $100,000. Anthropic puts its net revenue retention at about 900%, and it had $10.8 billion of contracted revenue still to recognize at June 30, about 75% of it expected within 12 months.

## Microsoft, Google and SpaceXAI Deals Are Larger in the Public Filing

Anthropic has committed to spend at least $44.9 billion with Microsoft between November 2026 and May 2033 "regardless of actual usage," up from the $31.4 billion reported from the draft. Its Google commitment is at least about $114.5 billion between April 2026 and July 2033, up from $111.1 billion, and Anthropic separately estimates $125 billion to $150 billion of further TPU computing from providers including Google, delivered between 2028 and 2031, that is not counted in its commitments table. The Amazon commitment is unchanged at $110 billion, running from May 2026 to April 2036, and so are the five-year [Broadcom equipment leases](https://www.sovereignmagazine.com/article/broadcom-anthropic-63-billion-chip-spv-financing), with rent of about $161.2 billion excluding interest.

Anthropic's agreements with SpaceXAI, the SpaceX subsidiary formerly called X.AI, are now worth up to $120.5 billion for Nvidia GPU computing over terms running into 2029, up from the $84.5 billion of xAI capacity in the draft. Anthropic expects to pay SpaceXAI about $3.1 billion a month once all the capacity is delivered, which it expects in December 2026, and either side can cancel on 90 days' notice once initial non-cancellable periods end in January and March 2027.

Anthropic also has agreements with two compute suppliers that were not in the draft: Nscale, for GPU services worth up to about $44.6 billion over terms into 2033, signed in August 2026 with fees due only as capacity is delivered, and Lambda, for about $41.3 billion over terms into 2034, signed in May, June and August. The August Lambda agreement, about $34.9 billion of that total, can be ended if Lambda does not secure the facility lease in time.

The public S-1 leaves the total of Anthropic's contractual obligations blank. In the notes to its accounts, Anthropic puts the future minimum payments under new and amended lease and commercial agreements signed after December 31, 2025 at about $417 billion, mostly leases for compute equipment and data centers and purchase commitments with cloud providers, starting in 2026 and 2027 with terms of up to 20 years. That figure covers a narrower set of contracts than the $518 billion total reported from the draft. In April 2026 Anthropic also put $2.5 billion into escrow in connection with a compute and infrastructure lease.

## The Long-Term Benefit Trust Elects Most of the Board and Class A Votes Are Capped at 49.9%

Each Class A share sold in the IPO carries one vote, but Class A holders together can never hold more than 49.9% of the vote. The co-founders' Founder LLC holds the rest through a [single Class F share](https://www.sovereignmagazine.com/article/anthropic-supervoting-shares-founder-control), which votes on most matters, including the election of every director except the Class T directors, and carries no economic rights.

Anthropic's Long-Term Benefit Trust holds Class T stock, which lets it elect and remove the Class T directors, who will make up a majority of the board. Class N stock carries no votes, and its holders are "primarily strategic business partners," according to the filing. Employees other than the co-founders receive Class E stock, which votes only on limited matters. Anthropic will be a "controlled company" under Nasdaq rules.

Anthropic has given 846,840,960 Class N shares, 5% of its fully diluted shares as of June 30, 2026, to the Anthropic Public Benefit Fund, a wholly owned subsidiary. Its board has also approved a framework under which it may give the fund up to another 2% of outstanding shares each time the share price rises 50% above the previous milestone, starting from the IPO price.

## Direxion, Tradr and GraniteShares Are Preparing 2x Leveraged Anthropic ETFs

Direxion said on October 29 that it plans to launch the Direxion Daily Anthropic Bull 2X ETF (ANTO) and the Direxion Daily Anthropic Bear 2X ETF (ANTD), which aim to return 200% and minus 200% of the daily move in Anthropic's Class A shares, before fees and expenses. Direxion expects both to start trading on the first trading day after Anthropic's shares begin trading, subject to SEC effectiveness and the completion of Anthropic's offering.

Tradr ETFs filed with the SEC on September 2 for the Tradr 2X Long Anthropic Daily ETF (ANTT) and Tradr 2X Short Anthropic Daily ETF (ANTZ), which it expects to list on Cboe, Crypto Briefing reported. GraniteShares followed on September 4 with its [2x Long Anthropic Daily ETF (AIL) and 2x Short Anthropic Daily ETF (ANS)](https://graniteshares.com/press/graniteshares-files-for-2x-long-and-2x-short-anthropic-etfs-ail-ans/). GraniteShares says that because the funds reset daily, their returns over periods longer than a day "can differ significantly from 200% or -200% of the return of Anthropic over the same period, particularly during periods of market volatility."

## FAQ

**Q: What kind of company is Anthropic legally?**
Anthropic, PBC is a Delaware public benefit corporation. Its charter names a specific public benefit purpose, "the responsible development and maintenance of advanced AI for the long-term benefit of humanity," and as a public benefit corporation Anthropic is required to balance its shareholders' financial interests with the best interests of those materially affected by its conduct and with that purpose.

**Q: Can I buy Anthropic stock?**
Not yet. The registration statement has not become effective, and the S-1 still leaves the price range and the number of shares blank. When the offering goes ahead, Anthropic will sell new shares and existing holders will sell some of theirs; the selling stockholders listed include co-founders Tom Brown, Jack Clark, Jared Kaplan, Sam McCandlish and Christopher Olah. Copies of the preliminary prospectus will be available from Goldman Sachs and Morgan Stanley.

**Q: How do single-stock leveraged ETFs work?**
A single-stock leveraged ETF uses derivatives to try to deliver a multiple of one company's return for a single day, such as 200% of its daily move, or minus 200% for a short fund. Direxion already runs leveraged and inverse single-stock funds on Tesla (TSLL, TSLS) and Nvidia (NVDU, NVDD), and launched SpaceX funds (LOFF, LOFD) around SpaceX's IPO. Direxion says such funds are meant only for investors who understand the risks and plan to watch their positions actively, and that "there is no guarantee these ETFs will meet their objective."
